END USER LICENSE AGREEMENT AND DISCLAIMER
(Pre-Release / Beta Products)
This Beta Software End User License Agreement and Disclaimer (this "Agreement") governs your access to and use of any pre-release, beta, or early-access version of software developed by ILX Studio, LLC, a North Carolina limited liability company ("ILX Studio," "we," "us," or "our"), including ILX PDF, ILX Concrete, ILX Connection, ILX Structures, ILX CAD AI, and any other software product designated by ILX Studio as a beta, preview, or early-access release (each, the "Beta Software").
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE BETA SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE BETA SOFTWARE.
The Beta Software is an early-stage, pre-release version provided for testing, evaluation, and feedback purposes only. It is not a finished or commercially released product.
THE BETA SOFTWARE IS NOT INTENDED, AND MUST NOT BE USED, FOR PRODUCTION ENGINEERING WORK, INCLUDING WITHOUT LIMITATION STRUCTURAL ANALYSIS, DESIGN CALCULATIONS, CONNECTION DESIGN, DRAWING PRODUCTION, OR ANY OTHER OUTPUT THAT WILL BE RELIED UPON FOR CONSTRUCTION, PERMITTING, REGULATORY SUBMISSION, OR ANY OTHER REAL-WORLD ENGINEERING, FINANCIAL, OR PROFESSIONAL DECISION.
Any results, outputs, calculations, drawings, models, or other data generated by the Beta Software ("Outputs") may be incomplete, inaccurate, or contain errors, and must be independently verified by a qualified professional before being used or relied upon for any purpose. You are solely responsible for any use of the Outputs.
Subject to your compliance with this Agreement, ILX Studio grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Beta Software solely for your own internal evaluation and testing purposes, and solely during the period that ILX Studio makes the Beta Software available to you. ILX Studio may modify, suspend, or discontinue the Beta Software, or terminate your access to it, at any time and without notice.
THE BETA SOFTWARE AND ANY OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE BETA SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE. ILX STUDIO DOES NOT WARRANT THAT THE BETA SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ANY OUTPUTS WILL BE ACCURATE, RELIABLE, OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ILX STUDIO, ITS MEMBER, MANAGERS, OFFICERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE BETA SOFTWARE OR ANY OUTPUTS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ILX STUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ILX STUDIO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE BETA SOFTWARE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), REGARDLESS OF THE FORM OF ACTION.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
The Beta Software, including its existence, features, functionality, and any related documentation, screenshots, or materials provided to you, is confidential information of ILX Studio. You agree not to disclose such information to any third party, or publicly post screenshots, videos, or descriptions of the Beta Software, without ILX Studio's prior written consent.
If you provide ILX Studio with any suggestions, comments, bug reports, or other feedback regarding the Beta Software ("Feedback"), you agree that ILX Studio may use, modify, and incorporate such Feedback into the Beta Software or any other ILX Studio product or service, without any obligation, payment, or attribution to you.
The Beta Software may collect telemetry and usage data, which may include information such as feature usage, performance metrics, crash reports, error logs, and general diagnostic information, for the purpose of improving the Beta Software, diagnosing issues, and informing product development.
The Beta Software is not intended to, and ILX Studio does not knowingly use it to, collect the content of your engineering files, project data, or other substantive work product as part of telemetry, except where such content is voluntarily and explicitly submitted by you (for example, as part of a bug report or support request).
By using the Beta Software, you consent to the collection and use of telemetry and usage data as described in this Section.
The Beta Software, including all related intellectual property rights, is and remains the property of ILX Studio. Nothing in this Agreement transfers any ownership rights in the Beta Software to you. All rights not expressly granted to you in this Agreement are reserved by ILX Studio.
Access to the Beta Software is currently provided free of charge.
This Agreement, and your license to use the Beta Software, will continue until terminated. ILX Studio may terminate this Agreement and your access to the Beta Software at any time, for any reason, with or without notice. You may terminate this Agreement at any time by ceasing all use of the Beta Software and deleting all copies in your possession.
Sections 1, 3, 4, 5, 6, 7, and 9 through 12 shall survive any termination of this Agreement.
You agree to indemnify, defend, and hold harmless ILX Studio and its Member, managers, officers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Beta Software or any Outputs, including any reliance on Outputs for professional, engineering, or business purposes in violation of Section 1.
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict-of-laws principles.
ILX Studio may update or modify this Agreement from time to time. If ILX Studio makes material changes, it will use reasonable efforts to notify beta users. Your continued use of the Beta Software after such changes constitutes your acceptance of the updated Agreement.
This Agreement constitutes the entire agreement between you and ILX Studio regarding the Beta Software and supersedes any prior agreements or understandings, whether written or oral, regarding the Beta Software.
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE BETA SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT, INCLUDING THE DISCLAIMERS OF WARRANTY AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, AND THAT YOU WILL NOT USE THE BETA SOFTWARE OR ITS OUTPUTS FOR PRODUCTION ENGINEERING WORK OR ANY DECISION WHERE ACCURACY IS REQUIRED, WITHOUT INDEPENDENT VERIFICATION BY A QUALIFIED PROFESSIONAL.
